NSE Settled With SEBI for ₹1,491 Crore. Only ₹714 Crore Left the Bank. How a CFO Reads That Gap.

SEBI agreed in principle to settle all pending regulatory cases against the National Stock Exchange — including the decade-old co-location and dark fibre matters — for ₹1,491.21 crore total. But NSE's actual cash outflow is just ₹714.74 crore, because ₹776.47 crore had already been deposited and the entire liability was provisioned in FY26 financials.

The headline number is ₹1,491 crore. The cash that left NSE's account this week is ₹714.74 crore. That gap is not a mistake — it is one of the most important ideas in corporate finance.

Here is how a CFO reads it. NSE had already booked the full ₹1,491 crore as an expense in its FY26 P&L — as a provision (a liability recognised on the balance sheet before cash actually moves). That charge hit profits last year. So when the cash finally moved this week, the Cash Flow Statement shows a large operating outflow — but the P&L is clean. No new earnings hit in FY27.

A quick gloss: a provision is an accounting entry that says 'we owe this, we just haven't paid yet.' It separates the economic event (incurring a liability) from the cash event (writing the cheque).

A CFO would ask three things here. One: is the cash on hand to cover the ₹714.74 crore without straining operations? Two: was the provision sized correctly — under-provisioning would have meant a nasty surprise this quarter? Three: what does removing this regulatory overhang unlock? In NSE's case, the answer is its long-awaited IPO.

The lesson: profit and cash are not the same thing. A charge can devastate your P&L one year and cost you zero incremental earnings the next. Understanding that gap — provision vs. payment — is exactly what the Cash Flow Statement is built to reveal.
