Shiprocket's ₹1,617 Cr IPO Is Live. Here's How a CFO Reads the Use of Proceeds.

Shiprocket, India's largest e-commerce enablement platform, opened its ₹1,617.48 crore IPO on August 12, 2026, priced at ₹92–97 per share. The company reported revenue of ₹2,077 crore in FY26 (+24% YoY) but posted a net loss of ₹79.25 crore — wider than last year's ₹74.45 crore — even as its grey-market premium trades ~30% above the issue price.

Shiprocket's IPO is live, and the grey market is buzzing at a 30% premium. Everyone's watching the GMP. A CFO would ignore the GMP and go straight to one page: use of proceeds.

Here's how a CFO reads it. Of the ₹885 crore fresh issue (the money that actually goes to the company), Shiprocket plans to deploy ₹210 crore to repay debt, ₹366 crore for platform growth, ₹206 crore for marketing, and ₹160 crore for technology. That breakdown tells you everything about the company's free cash flow situation. Free cash flow — FCF — is simply the cash a business generates from operations after paying for the capital it needs to maintain and grow itself. When a profitable company lists, the IPO is often optional capital. When a loss-making company lists and immediately earmarks a chunk to pay off loans, the IPO is a lifeline.

Shiprocket grew revenue 24% to ₹2,077 crore, but its net loss actually widened — from ₹74 crore to ₹79 crore. That means operations are still consuming cash, not generating it. The proceeds aren't amplifying growth; they're first plugging the hole.

A CFO would ask: at what revenue level does this business inflect to positive FCF? Marketing spend of ₹206 crore in a single raise suggests customer acquisition is still expensive — a signal that unit economics haven't fully matured yet.
