Zetwerk's IPO Is Raising ₹2,600 Cr. Here's How a CFO Reads the Use of Proceeds.

Bengaluru-based B2B contract-manufacturing platform Zetwerk filed its updated Draft Red Herring Prospectus (DRHP-I) with SEBI on 13 August 2026, seeking to raise ₹2,600 crore via fresh issue of shares plus an offer-for-sale of up to 96.84 million shares by existing investors; of the fresh proceeds, ₹1,800 crore is earmarked for debt repayment at the company and subsidiary level.

Most people look at an IPO and ask: 'What's the valuation?' A CFO looks first at something far more revealing — the Use of Proceeds table.

Zetwerk's updated DRHP says it will raise ₹2,600 crore in fresh capital. Of that, ₹1,250 crore goes to repay borrowings at the company level, and another ₹550 crore retires debt at specified subsidiaries. That's ₹1,800 crore — nearly 70% of the fresh issue — going straight to lenders, not to growth.

Here's how a CFO reads that: this is a capital structure reset. Zetwerk grew to ₹15,913 crore in FY26 revenue (up 40%) by scaling fast, and fast scaling in manufacturing eats cash and debt. The public market is now being asked to swap out expensive borrowed capital for cheaper equity capital. The theory is that a lower interest burden improves PAT, and cleaner books improve the valuation multiple investors award.

But a CFO would also flag the tradeoff. Fresh equity dilutes existing shareholders. So the question becomes: is the reduction in interest cost worth the dilution? That's WACC arithmetic — Weighted Average Cost of Capital. If the blended cost of the new equity is lower than the interest rate on the debt being wiped out, the swap makes sense.

The remaining proceeds fund acquisitions — deliberately vague in the DRHP, which is normal but worth watching.

Whenever you see a startup IPO heavy on debt repayment, read it as: 'We over-levered to grow. Now we're asking public investors to clean the balance sheet.' Not bad — just honest. A CFO spots that in paragraph one.
